General Terms & Conditions

1. About SelahNex Audits

SelahNex Audits (“SelahNex,” “we,” “us,” or “our”) provides independent audit, assessment, and readiness services related to IT, cybersecurity, risk, and compliance.
SelahNex Audits is not a certification body and does not issue certifications.

Certification audits, where applicable, are performed only under engagement with accredited certification bodies.


2. Scope of Services

All services provided by SelahNex Audits are delivered in an independent audit and advisory capacity and may include, but are not limited to:

  • Internal audits and assessments

  • Gap and readiness assessments

  • Risk and control reviews

  • Audit support and evidence validation

  • Framework mapping and assessment-aligned advisory

Unless explicitly stated in writing:

  • SelahNex Audits does not design, implement, operate, or manage controls

  • SelahNex Audits does not act as management or system owner

  • SelahNex Audits does not guarantee certification, compliance outcomes, or regulatory approval


3. Independence & Objectivity

SelahNex Audits maintains strict independence, objectivity, and professional integrity in all engagements.

We reserve the right to decline or terminate an engagement where:

  • Independence may be impaired

  • A conflict of interest exists

  • Required professional standards cannot be maintained

Clients agree to disclose any information relevant to independence or conflict-of-interest considerations.


4. Client Responsibilities

Clients are responsible for:

  • Providing accurate, complete, and timely information

  • Maintaining ownership of systems, controls, and remediation activities

  • Making all management decisions related to risk acceptance and remediation

SelahNex Audits relies on information provided by the client and is not responsible for inaccuracies resulting from incomplete or misleading information.


5. Deliverables & Use of Reports

All reports, findings, and deliverables are:

  • Prepared solely for the intended purpose of the engagement

  • Based on the scope and information available at the time of assessment

Reports may not be:

  • Represented as certification

  • Used to imply accreditation or regulatory approval

  • Distributed to third parties without prior written consent, unless required by law


6. Confidentiality & Data Protection

SelahNex Audits treats all client information as confidential and implements reasonable administrative, technical, and organizational safeguards.

We handle information in a manner consistent with applicable privacy and data protection requirements, including CCPA/CPRA and GDPR, where applicable.

SelahNex Audits does not knowingly process protected health information (PHI) unless explicitly agreed in writing.


7. Fees & Payment Terms

Fees, billing structure, and payment terms are defined in the applicable engagement agreement or proposal.

Unless otherwise agreed:

  • Fees are based on scoped effort and professional time

  • Invoices are payable within the agreed payment period

  • Work may be suspended for overdue payments


8. Pro Bono & Reduced-Fee Engagements

Pro bono or reduced-fee services, where offered, are:

  • Subject to availability and defined scope

  • Governed by the same independence, confidentiality, and professional standards

  • Excluded from certification audits and control implementation


9. Limitation of Liability

To the extent permitted by law:

  • SelahNex Audits’ liability is limited to the fees paid for the applicable engagement

  • SelahNex Audits shall not be liable for indirect, incidental, or consequential damages


10. Termination

Either party may terminate an engagement in accordance with the terms defined in the engagement agreement.
Termination does not relieve obligations related to confidentiality, payment, or report use.


11. Governing Law

These Terms & Conditions are governed by the laws of the applicable jurisdiction specified in the engagement agreement, without regard to conflict-of-law principles.


12. Updates to These Terms

SelahNex Audits may update these Terms & Conditions periodically.
The version in effect at the time of engagement shall apply unless otherwise agreed in writing.
